Abstract: New urbanization has been a national development strategy of China and it is now facing many difficulties. The urban land readjustment is one of the effective tools for new urbanization. From the practice of land direct replacement in Wujiaochang Town of Shanghai, the research concluded that the current land transfer system and the policy frame of managing city mainly depended on land finance and have become the main obstacle to the land exchange and urban land replacement. Based on the thinking of land direct replacement, the "independent replacement regulation model" and "government-dominated regulation model" were built for the urban land replacement with the existing policies, regulations and practice. The feasibility of implementing urban land replacement was analyzed and regulatory suggestions were put forward from the perspectives of policy support, institution building, landownership adjustment, fund raising and supporting measures.
