Abstract: 基于组织理论和代理理论的分析认为,新任CEO相较前任的特征差异及其继任后可能在短期内会面临被解聘的威胁,是新任CEO主动发起战略变革的动力.同时,考虑到CEO变更时的公司业绩和前任CEO任期作为CEO变更时的公司情境因素对新任CEO发起战略变革的影响.应用多元调节回归模型以及均值比较的方法,以2000 ~ 2009年中国上市公司为样本对上述观点进行了检验.结果表明,即使公司业绩优异,CEO变更依然与公司战略变革显著正相关;CEO变更时,公司业绩和前任CEO任期显著地负向调节CEO变更对战略变革的影响.
